Registering in the commercial register: obligations, steps and costs

The commercial register gives your company an official legal existence. Depending on your legal form, registration is optional or compulsory. Here is what you need to know before submitting your file.

What is the Commercial Register Office for?

The Commercial Register Office (SRC) is used to constitute and identify legal entities. Its services include:

  • registering, amending and deregistering companies,
  • issuing certified extracts,
  • issuing certified copies of documents relating to an entry,
  • issuing certificates on the admissibility of company names.

Compulsory or optional registration?

Registration depends on your company's legal form:

  • Sole proprietorship: optional if annual turnover is below CHF 100,000; compulsory if it is above CHF 100,000.
  • Sàrl, SA and general partnership: registration compulsory in all cases.

How much does it cost?

The registration fees are as follows:

  • Sole proprietorship: CHF 120
  • General partnership: CHF 240
  • Sàrl and SA: CHF 600
